VCX Software, Ltd. Transfers IP Model License Agreements - MLAs - to FSA; Transfer Designed to Accelerate Improvement in the IP Supply-Chain as Company Confirms IP Management and Exchange Software Strategy

ST. ANDREWS, Scotland—(BUSINESS WIRE)—May 25, 2005— VCX Software, Ltd. today announced an agreement with FSA that will see the industry organization adopt, evolve, and disseminate the significant body of work contained in the VCX IP Model License Agreements (MLAs) to its membership.

"VCX Software is establishing itself as a supplier of advanced software utilities for the management of both internally generated and externally sourced Intellectual Property. It seems an appropriate time to enable a transfer of these important work-packages to the body most able to secure further refinement and ensure dissemination," said Andy Travers, General Manager of VCX Software Ltd.

The MLAs were developed as a result of a major collaborative effort that VCX championed over the past several years among IP users, IP providers, EDA companies, foundries and IP attorneys. The initiative sought to identify what issues a set of common IP transaction agreements should address, and then, with significant financial support, translated this input into the initial MLA forms and supporting documents, which were used by original IP exchange facility developed by VCX Ltd.

Commenting on the rational for the agreement with FSA, Travers said, "The MLA agreements were widely regarded by all contributing parties as a major advancement that when understood, and utilized correctly, could undoubtedly improve the efficiency of the IP licensing process. Given the shift in the VCX business model, it seems appropriate that the evolution and continued adoption of this work should be placed in a true industry organization that is actively involved with all the major constituencies concerned with IP transactions. FSA has a demonstrated track record of driving the adoption of important business initiatives that benefits its members, and we're confident this will be a high priority for them."
